      Acquisition finance and security law

      We have substantial experience in acquisition capital structures and senior debt structures and more complex arrangements, such as vendor finance and hybrid capital structures (combining senior and mezzanine debt).

      On top of that, we assist our clients in relation to the implementation and enforcement of various kinds of securities and provide legal opinions in this respect in the framework of (multijurisdictional) financial operations.

      Corporate dispute resolution

      We have a considerable amount of experience in handling litigation relating to M&A transactions. Our M&A specialists advise our clients on actions on the grounds of representation and warranties, on price adjustment mechanisms, alleged fraud on the part of the seller, non-competition clauses and more.

      We regularly assist clients in disputes between shareholders, including disputes relating to exclusion and withdrawal from the company and the valuation of shares. We have specific expertise with protection of minority shareholders. Finally, we also assist companies, directors and claimants regarding directors’ liability and governance issues.

      Restructuring and reorganisation

      Our team assists clients in reorganizing their business. Restructuring and reorganisation of domestic and international companies or groups may include spin-offs as well as internal merger and demerger operations, winding-up and liquidation of legal entities and transfer of assets.

      Insolvency

      Our experts have built up particular expertise in the field of bankruptcy or insolvency law. Some of our lawyers are regularly appointed by the court as trustees in bankruptcies or as administrators in moratoria. Some other lawyers have worked as trustees and administrators in the past and use the expertise they have acquired to advise companies in difficulty.
